Proactively we analyze your operations, infrastructure, and outside relationships to find hidden or latent liabilities and mitigate these liabilities while providing you predictable and palatable costs. We are here to assist you in creating a rock-solid liability shield for your company in the following areas of our proprietary Shield Review:

  • Employment
  • Taxes
  • Insurance
  • Corporate Governance
  • Contracts/Agreements
  • Custom

Reactively we handle issues in two ways. For minor or agreed upon items, we merely pause work on your Shield until the reactive issue is dealt with. After resolution, we go back to work on your Shield. For major issues (e.g. litigation, acquisitions), Spartan Law Group has several other programs better suited for major items which would be agreed upon separately.

Testimonials

Jeff has a unique and practical view of the law. He finds a way of solving problems as a client may see things! Then he helps his clients see their "legal "options. I have referred several friends and clients. Jeff always provides great value.Financial services colleague

Jeff has provided me with construction and real estate related legal advice and contract services on numerous occasions. His work or advice has always been extremely helpful, accurate and valuable. In the course of doing business with Jeff, he has probably saved me ten times his fees. Jeff is a welcome and valuable resource to my team. I have and will continue to recommend Jeff to anyone needing construction or real estate related advice or services.Residential general contractor

Jeff is extremely knowledgeable when it comes to construction law. He is fair with his pricing and does not hike up the time it takes for work items. Jeff has never let me down in any way with his services and has surprised me with favorable results when I had little to no hope of a positive outcome.Structural concrete and masonry subcontractor

I was impressed with Jeff's knowledge of legal matters associated with small businesses. He was a pleasure to work with and was not only knowledgeable, but extremely quick in turning around the documents I needed. His competitive rate structure makes him a great choice for those on a small company budget.New corporate formation client

It is with great pleasure that I recommend Jeff Baughman, Esquire. When I began my construction company in 1997 my business plan demanded a solid team of professionals that are experts in my line of business. Banking relationship, accounting professional and legal services were identified as the top three resources that were a must have. I am very fortunate to have discovered Jeff Baughman. Jeff is unmatched with his working knowledge and understanding of Lien Law along with a wide variety of construction related legal knowledge which is mandatory for any contractor. I have had the pleasure of attending a few of Jeff's speaking engagements. Jeff is one of those rare people that can speak about complicated and less than interesting topics and make them fun, entertaining and easy to understand. Jeff's practice is not limited to the construction industry. If you have a need for legal advice Jeff is your first stop. If he cannot assist you he will refer you to someone you can trust will take care of your needs.Commercial general contractor client

Would recommend his services to anyone.Custom millwork and cabinet client

Bralynne has handled my case with great professionalism. Has worked hard and plays fair. She is completely honest with me by giving me the pros and cons and is willing to disagree or agree with me therefore she works as a team with her clients for the best possible outcome. She believes in her work and is committed to her clients and their families. I've worked with other attorneys before and by far she has been the most proactive, committed attorney I have dealt with. I would recommend her as an attorney to those that are willing to hear it straight and not be sold a dream or guarantee.Family law client

I endorse this lawyer's work. Jeff is probably the most motivated attorney I have ever met. If you need the best result possible in the least amount of time, call Jeff!!Opposing counsel

Registered Agent Service

Professional Registered Agent Services in Florida

Options

If you need to have a registered agent in Florida for your business entity, Spartan Law Group provides efficient, cost effective and timely service so that you will receive notice of all communication you receive, whether it is from a governmental authority or the initiation of a lawsuit. Please contact us if you would like more details as to how we can assist you.

Here are some answers to frequently asked questions about registered agents:

What is a Registered Agent?

A "registered agent," is someone you designate to receive "service of process" should your business entity be sued. (Service of process refers to the legal papers that start a lawsuit.) The registered agent also may receive official papers from the state government which relate to keeping your business entity in good standing for that state. Most states require business entities that are operating in their borders to designate a registered agent.

Who can serve as a Registered Agent?

If your business entity is set up in one state, the registered agent could be a principal of your entity who lives in that state. However, if your entity is doing business in more than one state, you will need to have a registered agent in each of those other states. Registered agents can be individuals who reside in the state or legal entities which are set up to provide such services.

Why do you need a Registered Agent?

There are several reasons why, as a business owner, you need the services of a registered agent. First, it is a requirement of the state where you set up your entity, whether you operate as a corporation, limited liability company, partnership, etc. The state wants to have a legal address where important papers can be sent and notices provided. Second, failure to have a registered agent with a current address could mean your entity was no longer in "good standing" in that state. Third, if you do not have a registered agent in every state where you do business, you will not know if your business is being sued there. That could lead to the plaintiff obtaining a default judgment against your business in their state and then taking that judgment and having it recognized in your home state. Trying to undo that situation could be very costly. Why is it a good idea to have a professional registered agent?

It can be worth the relatively small yearly fee to hire someone to be your entity's registered agent, even in your home state, for a number of reasons. Providing that kind of service is their business, they will act promptly to deliver your papers to you once they receive them. If you act as your own agent or have a "friend" do it, this kind of important paperwork could get lost. If you move, you may forget to update the mailing address with the state. And another important consideration could be to give you anonymity. The articles of incorporation are public documents. If you would prefer to limit information about the ownership of your entity, especially in the case of smaller organizations, letting a professional act as your registered agent can help in preserving your privacy.
